These Terms and Conditions (“Terms”) govern your use of the SmartSystem.ae website (the “Site”) and the services offered by SmartSystem (“we,” “our,” or “us”), including all smart glass and smart solutions services provided in the United Arab Emirates, under legal name “S O R S REFLECTIVE, ENAMELLED & INSULANT GLASS PRODUCTION CO. LLC”.
By accessing our Site or using our services, you agree to these Terms. If you do not agree with any part of these Terms, please do not use our Site or services.
2. Acceptance of Terms
By accessing this Site, you acknowledge that you have read, understood, and agree to be bound by these Terms, as well as our Privacy Policy. We reserve the right to modify these Terms at any time without prior notice. Your continued use of the Site following any changes constitutes your acceptance of the revised Terms.

- Contact us regarding our products and services
- Request quotes or consultations
- Submit project requirements

You agree not to:

All content on the Site, including but not limited to text, graphics, logos, images, audio clips, digital downloads, data compilations, software, and the compilation thereof (the “Content”) is the property of SmartSystem or its content suppliers and is protected by UAE and international copyright laws.
4.2 Trademarks
All trademarks, service marks, and trade names used on the Site are the property of SmartSystem or their respective owners. You may not use any trademarks, service marks, or trade names without the prior written consent of the owner.
4.3 License
We grant you a limited, non-exclusive, non-transferable, and revocable license to access and use the Site and Content for personal, non-commercial purposes. This license does not include:
- The right to modify, reproduce, distribute, or sell any Content
- The right to use data mining, robots, or similar data gathering methods
- Any derivative use of the Site or Content
5. Products and Services
5.1. Description of Services
SmartSystem provides smart glass and other smart solutions, including but not limited to installation, maintenance, and consultancy services in the UAE.
5.2. Project Execution
5.2.1 Site Assessment
Prior to commencing any project, we may conduct a site assessment to determine the scope of work, technical requirements, and any potential challenges. You agree to provide accurate information about the site and facilitate access as required.
5.2.2 Quotations and Proposals
All quotations and proposals provided by SmartSystem are:
- Valid for 30 days from the date of issuance unless otherwise specified
- Subject to change based on actual site conditions discovered during installation
- Based on information provided by you at the time of quotation
5.2.3 Project Timeline
While we strive to complete all projects within the agreed timeframe, certain factors beyond our control (such as weather conditions, material availability, or site accessibility) may cause delays. SmartSystem will not be liable for reasonable delays in project completion.
5.3 Installation and Site Work
5.3.1 Site Preparation
You are responsible for ensuring that the site is prepared and ready for installation according to our specifications. We may provide guidelines for site preparation in advance.
5.3.2 Access to Premises
You agree to provide SmartSystem and its personnel with safe and reasonable access to your premises as required for the performance of our services. This includes necessary parking, utilities, and workspace for our installation team.
5.3.3 Safety and Compliance
All installation work will be carried out in compliance with UAE safety regulations and building codes. SmartSystem reserves the right to halt work if unsafe conditions are identified at the work site until such conditions are remedied.
5.3.4 Protection of Workers
You agree to provide a safe working environment for our installation team. SmartSystem reserves the right to withdraw personnel from any site where working conditions are deemed hazardous, unhealthy, or abusive. In such cases, delays resulting from unsafe conditions shall not be attributed to SmartSystem.
5.3.5 Work Hours
Unless otherwise agreed, our standard work hours are from 8:00 AM to 6:00 PM, Sunday through Thursday. Any work required outside these hours may incur additional charges.
5.4 Materials and Equipment
5.4.1 Quality
All materials and equipment provided by SmartSystem are guaranteed to be of professional quality and suitable for their intended purpose.
5.4.2 Storage
Any materials delivered to the site prior to installation must be stored in a secure, dry location as specified by SmartSystem. Damage resulting from improper storage will be the client’s responsibility.
5.4.3 Property Rights
All materials and equipment remain the property of SmartSystem until full payment has been received.
6. Payment Terms
6.1 Prices
All prices are quoted in UAE Dirhams (AED) unless otherwise specified. Prices are exclusive of VAT unless explicitly stated otherwise.
6.2 Payment Schedule
Unless otherwise agreed in writing, our standard payment terms are:
- 50% deposit upon acceptance of the proposal
- 40% upon delivery of materials to site
- 10% upon completion and handover
6.3 Late Payments
Payments not received according to the agreed schedule may result in:
- Suspension of ongoing work
- Delay in project completion
- Additional charges, including but not limited to storage fees and administrative costs
- Interest charges at 1% per month on overdue amounts
6.4 Cancellation
Cancellation of confirmed orders or projects may incur charges depending on the stage of the project:
- Before procurement of materials: 20% of the total project value
- After procurement of materials: 50% of the total project value
- After commencement of installation: 75% of the total project value
7. Warranties and Guarantees
7.1 Workmanship Warranty
SmartSystem warranties its installation workmanship for a period of 12 months from the date of completion.
7.2 Product Warranty
Product warranties vary according to the manufacturer’s terms and conditions. SmartSystem will pass on all manufacturer warranties to you.
7.3 Warranty Exclusions
The following are excluded from all warranties:
- Damage caused by misuse, abuse, neglect, or improper maintenance
- Damage caused by unauthorized repairs or modifications
- Normal wear and tear
- Damage caused by external factors such as power surges, fire, flood, or extreme weather conditions
- Damage caused by failure to follow operating instructions
7.4 Warranty Claims
All warranty claims must be submitted in writing to SmartSystem within the applicable warranty period.
8. Limitation of Liability
8.1 Direct Damages
SmartSystem’s liability for any direct damages arising out of or relating to these Terms, the Site, or any services provided shall be limited to the total amount paid by you to SmartSystem for the specific service giving rise to the claim.
8.2 Indirect Damages
Under no circumstances shall SmartSystem be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, goodwill, or other intangible losses.
8.3 Force Majeure
SmartSystem shall not be liable for any failure or delay in performance due to circumstances beyond its reasonable control, including but not limited to acts of God, natural disasters, pandemics, government actions, war, terrorism, riots, civil unrest, fire, floods, telecommunications or Internet failures, strikes, or lack of materials.
9. Indemnification
You agree to indemnify, defend, and hold harmless SmartSystem, its affiliates, officers, directors, employees, consultants, agents, and representatives from any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys’ fees) arising from:
- Your violation of these Terms
- Your use of the Site or our services
- Your violation of any rights of a third party
- Your conduct in connection with the Site or our services
10. Dispute Resolution
10.1 Governing Law
These Terms shall be governed by and construed in accordance with the laws of the United Arab Emirates, without regard to its conflict of law principles.
10.2 Jurisdiction
Any dispute arising out of or relating to these Terms, the Site, or our services shall be subject to the exclusive jurisdiction of the courts of the United Arab Emirates.
10.3 Informal Resolution
Before filing a claim against SmartSystem, you agree to try to resolve the dispute informally by contacting us. We will attempt to resolve the dispute informally by contacting you via email.
11. Termination
We reserve the right to terminate or suspend your access to the Site and our services, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms.
12. Severability
If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that the Terms will otherwise remain in full force and effect and enforceable.
13. Entire Agreement
These Terms constitute the entire agreement between you and SmartSystem regarding the subject matter hereof and supersede all prior or contemporaneous understandings and agreements, whether written or oral.
14. Waiver
The failure of SmartSystem to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision.
